The agreement between you and Felps Enterprises Inc. governing use of SteelSpine AI.
By installing, activating, or using SteelSpine AI ("the Service"), you ("Customer") agree to these Terms of Service ("Terms") with Felps Enterprises Inc. ("we", "us", "Felps Enterprises"). If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
SteelSpine AI is software that wraps AI agents and other processes to capture, hash-chain, sign, and verify their execution for audit, replay, and compliance purposes. The Service includes:
Subject to your compliance with these Terms and ongoing payment of fees, Felps Enterprises grants you a non-exclusive, non-transferable, revocable license to install and use the Service:
"Use" includes running the Service on machines you own or control, on cloud infrastructure under your account, and within your organization's environments for the purpose of capturing and auditing AI-agent and process execution.

The Service is offered on a subscription basis. Current pricing is published at steelspine.ai. Subscriptions renew automatically at the end of each billing period (monthly or annual) until cancelled.
All payments are processed by Lemon Squeezy, our Merchant of Record. Lemon Squeezy is responsible for billing, currency conversion, applicable sales tax / VAT / GST collection, and refund processing under their own terms.
New customers may receive a 14-day free trial. During the trial, you have full access to the features of the plan you selected. At the end of the trial, your subscription begins billing unless you cancel.
You may cancel your subscription at any time through your Lemon Squeezy customer portal or by emailing hello@steelspine.ai. Cancellation takes effect at the end of the current billing period; you retain access through that period.
Refunds are governed by our Refund Policy. The short version: 14-day money-back from your first paid charge.
We may change prices on a going-forward basis. We will notify active subscribers by email at least 30 days before any price change applicable to their subscription.
You grant us only the minimal access necessary to operate the Service (account information, license validation pings, billing events, opt-in crash reports). See our Privacy Policy for details.
Felps Enterprises retains all right, title, and interest in and to the Service, including all software, documentation, trademarks (SteelSpine™, SteelSpine AI™), and patents (Patents Pending). These Terms grant you a license to use the Service, not ownership of it.
Each party agrees to protect the other party's confidential information with reasonable care, to use it only as needed to perform under these Terms, and to disclose it only to personnel or service providers with a need to know.
We warrant that the Service will perform substantially in accordance with its published documentation. EXCEPT FOR THE FOREGOING, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FELPS ENTERPRISES' AGGREGATE LIABILITY UNDER THESE TERMS IS LIMITED TO THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR USE.
You are responsible for using the Service in compliance with all applicable laws and regulations. The Service includes features intended to support compliance with frameworks including the EU AI Act, ISO/IEC 42001, and NIST AI RMF, but Felps Enterprises does not guarantee that your use of the Service makes your operations compliant with any specific framework. Compliance is a property of how you operate, not solely of the tools you use.
We may suspend or terminate your access to the Service if you materially breach these Terms (including non-payment) and fail to cure the breach within 14 days of written notice. You may terminate at any time by cancelling your subscription. Upon termination, your license to the Service ends; sections that by their nature should survive termination (intellectual property, confidentiality, limitation of liability, governing law) will survive.
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to its conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the courts located in Ontario, Canada, for any dispute arising out of or relating to these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction.
We may update these Terms from time to time. For material changes, we will notify active subscribers by email at least 30 days before the change takes effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
